Terms of Service

These terms govern your business relationship with Yiwu Kaiguang Bag Factory. Please review carefully.

1. Definitions

"Company" refers to Yiwu Kaiguang Bag Factory (KG), a manufacturing company established in 2006, specializing in functional bag production.

"Client" refers to any individual or business entity engaging our manufacturing services, including but not limited to procurement managers, brand owners, wholesalers, retailers, and e-commerce sellers.

"Products" refers to all bag categories manufactured by the Company, including business & laptop bags, travel & outdoor bags, sports & gym bags, casual & everyday bags, camera & tech bags, smart & anti-theft bags, and sustainable/eco-friendly bags.

"OEM/ODM Services" refers to Original Equipment Manufacturing and Original Design Manufacturing services, including custom design, branding, and specification modifications.

"MOQ" refers to Minimum Order Quantity, set at 100 pieces per product specification.

2. Services Overview

2.1 Manufacturing Services

The Company provides comprehensive bag manufacturing services with a monthly production capacity of 100,000 pieces. Our production capabilities include handling heavy-duty and technical fabrics using 40+ specialized machines.

2.2 Customization Options

  • Logo application (embroidery, heat transfer, sublimation, digital printing)
  • Material selection and specification
  • Hardware and accessory customization
  • Internal compartment design modifications
  • Tag options (PU/PVC, woven, metal)

2.3 Quality Standards

All products undergo rigorous quality control processes to ensure compliance with international standards for functionality, durability, and safety.

3. Order Process & Requirements

3.1 Minimum Order Requirements

All orders must meet the minimum order quantity of 100 pieces per product specification. Mixed orders are acceptable provided each variant meets the MOQ requirement.

3.2 Order Confirmation Process

  1. Initial inquiry and specification discussion
  2. Sample development and approval (if required)
  3. Formal quotation and terms agreement
  4. Purchase order confirmation
  5. Production scheduling and timeline confirmation

3.3 Production Timeline

Standard production lead time is approximately 20 days from order confirmation and receipt of required materials/specifications. Custom orders may require additional time depending on complexity.

4. Pricing & Payment Terms

4.1 Pricing Structure

All prices are quoted FOB (Free on Board) our manufacturing facility unless otherwise specified. Prices are subject to change based on raw material costs, order specifications, and market conditions.

4.2 Payment Terms

  • 30% deposit upon order confirmation
  • 70% balance payment before shipment
  • Payment methods: T/T (Telegraphic Transfer), L/C (Letter of Credit)
  • All bank charges are borne by the respective parties

4.3 Currency and Taxes

All transactions are conducted in USD unless otherwise agreed. Clients are responsible for all applicable taxes, duties, and customs fees in their respective jurisdictions.

5. Intellectual Property Rights

5.1 Client IP Protection

The Company respects and protects all intellectual property rights of Clients, including trademarks, logos, designs, and proprietary specifications provided for manufacturing purposes.

5.2 Manufacturing Rights

Clients grant the Company the right to manufacture products according to provided specifications solely for the fulfillment of confirmed orders. No additional manufacturing rights are implied or granted.

5.3 IP Indemnification

Clients warrant that all provided designs, logos, and specifications do not infringe upon third-party intellectual property rights and agree to indemnify the Company against any related claims.

6. Quality Assurance & Warranties

6.1 Quality Control Process

All products undergo comprehensive quality control inspections including material verification, construction quality checks, and functional testing before shipment.

6.2 Defect Rate Standards

The Company maintains a defect rate standard of less than 2% for major defects and less than 4% for minor defects based on AQL (Acceptable Quality Level) 2.5 standards.

6.3 Warranty Coverage

Products are warranted against manufacturing defects for a period of 6 months from shipment date. Warranty covers material and workmanship defects but excludes normal wear, misuse, or damage from improper handling.

Important Disclaimers

Limitation of Liability

The Company's total liability for any claim arising from or related to these terms or the services provided shall not exceed the total amount paid by the Client for the specific order giving rise to the claim.

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters, epidemics, or government actions
  • Labor disputes, material shortages, or supplier failures
  • Transportation delays or customs issues
  • Changes in laws, regulations, or trade policies

Product Specifications

While the Company strives for accuracy, minor variations in color, dimensions, and materials may occur due to manufacturing tolerances and material characteristics. Such variations within industry-standard tolerances do not constitute defects.

Clients are responsible for verifying that all specifications meet their requirements before confirming orders.

7. Delivery & Risk Transfer

7.1 Delivery Terms

Standard delivery terms are FOB (Free on Board) our manufacturing facility. Risk of loss transfers to the Client upon delivery to the designated carrier at our facility.

7.2 Shipping and Insurance

Clients are responsible for arranging and paying for shipping, insurance, customs clearance, and all related logistics costs unless otherwise agreed in writing.

7.3 Delivery Delays

While the Company endeavors to meet agreed delivery dates, time is not of the essence unless expressly stated. The Company shall not be liable for delays caused by factors beyond its reasonable control.

8. Confidentiality

8.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, and business data shared during the course of the business relationship.

8.2 Non-Disclosure Obligations

Confidential information shall not be disclosed to third parties without prior written consent and shall be used solely for the purpose of fulfilling obligations under these terms.

9. Termination

9.1 Termination Rights

Either party may terminate the business relationship with 30 days written notice. Termination does not affect obligations for orders already in production or completed.

9.2 Immediate Termination

Either party may terminate immediately in case of material breach, insolvency, or failure to make payments when due.

10. Dispute Resolution

10.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

10.2 Dispute Resolution Process

  1. Initial attempt at amicable resolution through direct negotiation
  2. Mediation through a mutually agreed mediator
  3. Arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC)

Agreement Acknowledgment

By engaging our services, placing orders, or entering into business communications with Yiwu Kaiguang Bag Factory, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These terms constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
